Editor Agreement
Version 1.0, effective August 13, 2026
This agreement sets out the terms under which independent editors receive, handle, and deliver work for MorganMade and its clients. It must be read and signed before any footage, project files, or client materials are released.
It works alongside the MorganMade Privacy Policy and Terms of Service.
1. Scope and Relationship
- The editor is engaged as an independent contractor on a per-project basis. Nothing in this agreement creates employment, partnership, agency, or joint venture.
- The editor is responsible for their own taxes, equipment, software licences, and workspace.
- Signing this agreement implies no guarantee of volume or ongoing work.
2. Ownership and Assignment of Rights
- All work product, including project files, timelines, sequences, exports, graphics, templates, captions, and any other deliverable created for a MorganMade project, is assigned in full to MorganMade upon creation.
- The editor waives all moral rights in the work product to the extent permitted by law.
- The editor retains no licence to reuse, resell, republish, or relicense the work or any part of it.
- Source footage supplied by MorganMade or its clients remains the property of the client at all times. It is licensed to the editor solely for the purpose of completing the assigned project.
- The editor may not use client footage, finished edits, or client names in a portfolio, showreel, social post, or case study without prior written permission from MorganMade.
3. Confidentiality
- All footage, briefs, client names, contact details, pricing, rates, and internal processes are confidential.
- Confidentiality is indefinite and survives the end of the engagement.
- Church and ministry footage receives heightened care. Sermons, services, congregant faces, children, baptisms, testimonies, and prayer requests may not be shared, excerpted, screenshotted, or discussed outside the project under any circumstances.
- The editor will not disclose that a specific client works with MorganMade.
4. Handling of Files and Personal Data
- Files are transferred through MorganMade's approved channels only (MASV and the MorganMade client portal). Editors may not re-upload client footage to public file hosts, torrent services, or personal cloud accounts shared with third parties.
- Client footage must not be uploaded to third-party AI or machine-learning tools, or to any service whose terms grant the provider rights to use uploaded content for training, without prior written approval from MorganMade.
- Working files must be deleted from local and cloud storage within 30 days of final approval, unless MorganMade asks in writing that they be retained.
- Any suspected loss, leak, or unauthorised access must be reported to MorganMade immediately at business@morganmade.co.
- Personal data encountered in footage is handled in line with the MorganMade Privacy Policy.
5. Non-Solicitation and Non-Circumvention
- For 12 months following the last project delivered, the editor will not solicit, or accept direct work from, any MorganMade client the editor was introduced to through MorganMade.
- The editor will not contact MorganMade clients directly. All communication runs through MorganMade.
- If a client contacts the editor directly, the editor refers them back to MorganMade.
6. Delivery Standards
- Deadlines agreed at brief stage are firm. If a deadline is at risk, the editor notifies MorganMade as early as possible. Late notice is the problem, not the delay itself.
- Deliverables are exported to the specification given in the brief. Unless the brief says otherwise, the maximum source resolution accepted is 4K at 24fps.
- Two rounds of revisions are included in the agreed project rate. Additional rounds are quoted separately.
- Work is delivered with all assets, fonts, and project files where requested.
- Deliverables must be the editor's own original work. Stock, music, plugins, and templates must be properly licensed for commercial use, with licence details supplied on request.
- The editor may not subcontract or reassign the work to another person without prior written approval from MorganMade.
7. Payment
- Rates are agreed in writing per project before work begins.
- Payment is issued after the delivered work has been reviewed and approved by MorganMade. MorganMade does not pay in advance of review.
- Revisions required to bring the work to the agreed brief are not separately billable.
- The editor invoices MorganMade, not the client.
8. Termination
- Either party may end the working relationship at any time.
- On termination, the editor immediately returns or deletes all client materials and delivers any work completed to date.
- Sections 2, 3, 4, and 5 survive termination.
9. Governing Law
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
10. Acknowledgement
- By signing below, the editor confirms they have read, understood, and agree to be bound by this agreement, together with the MorganMade Privacy Policy and Terms of Service.
- A copy of the signed acknowledgement is recorded by MorganMade. The editor may request a copy at any time.
